1. Definitions

In these Terms & Conditions:

• "Kukuh Advisory", "we", "us", "our" refers to the business consulting practice operating under the name Kukuh Advisory, based in Kuala Lumpur, Malaysia.
• "Client" refers to any individual, company, or organisation that engages Kukuh Advisory for consulting services.
• "Services" refers to the consulting engagements offered by Kukuh Advisory, including Procurement Optimisation Review, Change Management Support Program, and Strategic Business Plan Development.
• "Website" refers to all pages hosted under the Kukuh Advisory domain.
• "Engagement Agreement" refers to the written scope of work or service agreement confirmed between Kukuh Advisory and the Client prior to commencement.

2. Use of This Website

This website is intended for informational purposes and to facilitate enquiries from prospective clients. You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the site.

You must not:

• Attempt to gain unauthorised access to any part of the website or its underlying systems.
• Transmit any content that is unlawful, harmful, defamatory, or otherwise objectionable.
• Use automated tools to scrape, copy, or harvest content from this website without prior written consent.

3. Consulting Services

All consulting engagements with Kukuh Advisory are subject to a written Engagement Agreement, which confirms the scope, timeline, deliverables, fees, and payment schedule. These Terms & Conditions apply alongside and do not replace the Engagement Agreement.

Kukuh Advisory will deliver services with reasonable professional skill and care. The specific outputs and timelines for each service are described in the relevant Engagement Agreement and in the service descriptions published on this website.

4. Fees and Payment

Service fees are as published on this website at the time of enquiry, and confirmed in the Engagement Agreement. Unless otherwise agreed in writing:

• A deposit of 50% of the total engagement fee is required prior to commencement.
• The remaining balance is due upon delivery of the final deliverable, or as otherwise stipulated in the Engagement Agreement.
• All fees are stated in Malaysian Ringgit (RM) and are subject to applicable taxes where required by law.

Late payments may result in a pause of service delivery. Kukuh Advisory reserves the right to charge reasonable interest on overdue amounts at the rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower.

5. Cancellation and Refunds

If a Client wishes to cancel an engagement after commencement, the following applies:

• If cancellation occurs within 7 days of engagement commencement and before substantial work has begun, a full refund of the deposit will be considered, less any reasonable costs already incurred.
• If cancellation occurs after the first working week of the engagement, fees for work already completed and reasonable preparation costs will be retained.
• Cancellation requests must be submitted in writing to [email protected].

Kukuh Advisory reserves the right to withdraw from an engagement if the Client fails to provide necessary access, information, or cooperation required to deliver the agreed services. In such cases, fees for work completed will be retained.

6. Confidentiality

Kukuh Advisory treats all information shared by Clients as confidential. We will not disclose Client information to third parties except where required by law, or where the Client has provided express written consent. This obligation survives the conclusion of any engagement.

Where a formal Non-Disclosure Agreement is required, Clients are welcome to request this prior to sharing sensitive materials.

7. Intellectual Property

All deliverables produced under an Engagement Agreement become the property of the Client upon receipt of full payment. Kukuh Advisory retains the right to reference the general nature of the work (without disclosing confidential details) for the purpose of describing our capabilities to prospective clients, unless the Client requests otherwise in writing.

All content on this website — including text, layout, and design — remains the intellectual property of Kukuh Advisory. Reproduction without written permission is not permitted.

8. Limitation of Liability

Our consulting services provide analysis, recommendations, and planning support. The implementation of any recommendations remains the sole responsibility of the Client. Kukuh Advisory is not liable for outcomes arising from the Client's decisions, actions, or inactions following the conclusion of an engagement.

To the maximum extent permitted by Malaysian law, Kukuh Advisory's aggregate liability for any claim arising from an engagement is limited to the total fees paid by the Client for that engagement.

We are not liable for indirect, consequential, or speculative losses, including loss of profit, loss of business, or reputational damage.

9. Disclaimer of Warranties

This website and its contents are provided on an "as is" basis. While we make reasonable efforts to ensure accuracy, Kukuh Advisory does not warrant that the information on this site is complete, current, or free from error. Website availability is not guaranteed, and we may update or modify content at any time without notice.

10. Governing Law

These Terms & Conditions are governed by the laws of Malaysia. Any disputes arising from these terms or from a consulting engagement shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to the jurisdiction of the courts of Kuala Lumpur, Malaysia.

11. Amendments

Kukuh Advisory may update these Terms & Conditions from time to time. The revised version will be published on this page with an updated effective date. Continued use of our website following any amendment constitutes acceptance of the revised terms.
